Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the Udlivery mobile application, website, and related services (collectively, the "Service") operated by Udlivery ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Eligibility

To use Udlivery, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction • Be a currently enrolled student at a supported university (for Udliverers) or affiliated with a supported campus (for customers) • Have the legal capacity to enter into a binding agreement • Not have been previously suspended or removed from the Service • Comply with all applicable local, state, and federal laws

We reserve the right to refuse service to anyone for any reason at any time.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete registration information • Promptly update your information if it changes • Notify us immediately of any unauthorized use of your account • Not share your account with others or create multiple accounts • Not impersonate any person or entity

We are not liable for any loss arising from unauthorized use of your account.

Delivery Services

Udlivery provides a technology platform that connects students who need items delivered ("Customers") with student delivery partners ("Udliverers"). Udlivery is not a delivery company, courier service, or employer of Udliverers.

• Udliverers are independent contractors, not employees of Udlivery • Udlivery does not guarantee delivery times, availability, or acceptance of orders • Delivery estimates are approximate and not guaranteed • Customers are responsible for providing accurate pickup and delivery information • Udliverers are responsible for safely transporting items in accordance with these Terms

Payment Terms

• Customers agree to pay all delivery fees, service charges, and tips displayed at checkout • Prices are subject to change based on demand, distance, and order type • Payments are processed through our third-party payment processor • Udliverers receive payouts for completed deliveries, including 100% of tips • Same-day payouts are available for eligible Udliverers subject to payment processor terms • All fees are non-refundable except as required by law or at Udlivery's discretion • Udlivery may charge cancellation fees for orders cancelled after a Udliverer has accepted

Prohibited Items

The following items may not be ordered, picked up, or delivered through Udlivery:

• Alcohol, tobacco, or controlled substances • Weapons, explosives, or hazardous materials • Illegal items or items that violate university policies • Live animals • Items exceeding weight or size limits specified in the app • Cash, securities, or items requiring special licenses to transport • Items that are stolen, counterfeit, or infringe on intellectual property rights

Violation of this policy may result in immediate account suspension.

User Conduct

You agree not to:

• Use the Service for any unlawful purpose • Harass, threaten, or discriminate against other users • Provide false information about orders or deliveries • Manipulate ratings, reviews, or the matching system • Attempt to circumvent fees or payment systems • Use automated systems to access the Service • Interfere with or disrupt the Service or servers • Collect user information without consent • Engage in any activity that could harm Udlivery's reputation or operations

Udliverer Obligations

If you register as a Udliverer, you additionally agree to:

• Maintain valid student enrollment at your university • Complete deliveries in a timely and professional manner • Handle all items with reasonable care • Follow all applicable traffic laws and university regulations • Not accept more than three simultaneous deliveries • Use your own vehicle, bicycle, or walk as permitted by the app • Maintain appropriate insurance if using a motor vehicle • Report any incidents, accidents, or safety concerns immediately • Not subcontract deliveries to non-Udliverer individuals

Intellectual Property

The Service, including all content, features, functionality, logos, trademarks, and software, is owned by Udlivery and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

User-generated content (reviews, photos, feedback) grants Udlivery a non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Udlivery does not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the quality, safety, or legality of items delivered, the truth or accuracy of user content, or the ability of Udliverers to complete deliveries.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDLIVERY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UDLIVERY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Account Suspension and Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users or Udlivery, or for any other reason at our sole discretion.

You may delete your account at any time through the app settings or by contacting support@udlivery.com. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Travis County, Texas.

If you are a consumer in a jurisdiction that provides mandatory consumer protection laws, nothing in these Terms limits your rights under those laws.
